About the role

Draft initial versions of Board meeting minutes, agendas, and corporate resolutions.
Maintain and update the annual corporate calendar to ensure all meeting and regulatory filing deadlines are strictly met.
Coordinate data collection for quarterly and annual reports.
Prepare and submit required disclosure documents to the Securities and Exchange Regulator of Cambodia (SERC) and the Cambodia Securities Exchange (CSX), systematically tracking all receipt acknowledgments.
Act as the primary custodian of the legal database.
Ensure all company contracts, corporate licenses, and official seals are organized, digitized, and securely indexed for seamless audit retrieval.
Update compliance checklists daily.
Continuously monitor operational activities against Ministry of Posts and Telecommunications (MPTC) and Telecommunication Regulator of Cambodia (TRC) requirements to proactively flag potential delays or issues to the Manager.
Conduct initial reviews of standard agreements (e.g., NDAs, vendor and service contracts) using standardized company templates to ensure foundational legal protections are met prior to senior management review.
Manage routine operational correspondence with external law firms, securities houses, and regulatory bodies.
Organize logistics for shareholder and Board meetings, including venue booking, material production, and attendee registration.
Accurately translate legal notices, official correspondence, and internal policies between English and Khmer, ensuring technical legal and financial terminology is precisely preserved.

Requirements

Bachelor’s degree in law, Business Administration, or a related field.
Proficient in Microsoft Office (Word, Excel, PowerPoint).
Proven capability to take rapid, accurate, and concise minutes during complex corporate discussions.
Minimum of 1–2 years of experience in a corporate legal, compliance, or company secretarial role (experience within a public listed company or dealing with Cambodian securities regulators is highly preferred).
Solid foundational understanding of the Cambodian Law on Commercial Enterprises and the local securities market regulatory framework (SERC/CSX).
Exceptional attention to detail with a proven ability to identify subtle typos in legal texts or minor discrepancies in regulatory filing timelines.
Professional-level written and verbal communication skills in both English and Khmer.
Demonstrated high level of professional integrity and the ability to manage highly confidential, Board-level information with absolute discretion.
